Agreement to Terms
Welcome to Coplanar ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Coplanar application, website, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.

1. Eligibility and Account Requirements
1.1 Age Requirement
You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are 18 years or older.
If you are under 18, you may not use the Service under any circumstances.
1.2 Account Registration
To use certain features of the Service, you must create an account by providing:
- A valid email address
- A secure password
- A display name
- Organization information (optional)
You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate and current
- Not impersonate any person or entity
- Not create an account for anyone other than yourself without permission
1.3 One Account Per Person
You may only create and maintain one account. Creating multiple accounts may result in termination of all accounts.
1.4 Account Responsibility
You are responsible for:
- All activity that occurs under your account
- Maintaining the confidentiality of your password
- Notifying us immediately of any unauthorized use
We are not liable for any loss or damage from your failure to protect your account credentials.
2. Account Security
2.1 Password Requirements
You must:
- Choose a strong, unique password
- Not share your password with anyone
- Not use the same password for other services
- Update your password if you suspect compromise
We implement security measures including:
- Argon2id password hashing (never stored in plain text)
- Account lockout after failed login attempts
- Session versioning for instant token invalidation
- Rate limiting on authentication endpoints
2.2 Two-Factor Authentication
We may offer two-factor authentication (2FA) for additional security. We strongly encourage you to enable 2FA when available.
2.3 Suspicious Activity
We may suspend or terminate your account if we detect suspicious activity, including:
- Unusual login patterns
- Brute force attack attempts
- Violation of these Terms
- Fraudulent or illegal activity
3. Acceptable Use Policy
3.1 Permitted Uses
You may use the Service to:
- Create and manage project plans
- Interact with AI-powered planning features
- Collaborate with team members (if applicable)
- Store and organize project documentation
- Integrate with your local development environment
3.2 Prohibited Uses
You agree NOT to:
Illegal Activities:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Engage in fraud, phishing, or deceptive practices
- Distribute malware, viruses, or harmful code
Abuse of Service:
- Attempt to gain unauthorized access to the Service or other users' accounts
- Reverse engineer, decompile, or disassemble the Service
- Use automated tools (bots, scrapers) without authorization
- Overload or interfere with the Service's infrastructure
- Bypass rate limiting or security measures
Harmful Content:
- Upload malicious code, malware, or exploits
- Generate or distribute illegal content through AI features
- Use the Service for harassment, abuse, or hateful conduct
- Violate the privacy of others
AI Misuse:
- Use AI features to generate content that violates Anthropic's Acceptable Use Policy
- Attempt to jailbreak or manipulate AI models
- Generate spam, phishing content, or misleading information
- Create content that promotes violence or illegal activities
Commercial Misuse:
- Resell or redistribute the Service without authorization
- Use the Service to compete with us
- Frame or mirror the Service without permission
3.3 Enforcement
Violation of this Acceptable Use Policy may result in:
- Warning and request to cease activity
- Temporary suspension of account
- Permanent termination of account
- Legal action if required
We reserve the right to investigate violations and cooperate with law enforcement.
4. AI-Powered Features and Third-Party Services
4.1 Anthropic Claude AI Integration
Coplanar uses Anthropic's Claude AI to power planning and code analysis features.
Your Responsibilities:
- You are responsible for all content you submit to AI features
- You must comply with Anthropic's Acceptable Use Policy
- You must comply with Anthropic's Commercial Terms
How AI Processing Works:
- Your prompts are sent to Anthropic's API for processing
- Anthropic processes data according to their privacy policy
- Anthropic does NOT use API data to train their models
- Anthropic retains data for 30 days for trust and safety, then deletes it
No Guarantee of Accuracy:
- AI-generated content may be inaccurate, incomplete, or misleading
- You are responsible for reviewing and verifying all AI outputs
- We do not guarantee the correctness of AI-generated plans or code
- AI outputs should not be used for critical decisions without human review
Content Moderation:
- AI requests may be flagged for violating content policies
- We reserve the right to review flagged content
- Repeated violations may result in account suspension
4.2 Third-Party Service Dependencies
The Service relies on third-party providers:
- Anthropic (Claude AI): AI processing and generation
- Hosting Provider: Application hosting and infrastructure
- Database Provider: Database storage and management
- Analytics Provider: Usage analytics (privacy-focused)
Third-Party Availability:
- Service functionality depends on third-party availability
- We are not liable for third-party service interruptions
- Third-party services have their own terms and privacy policies
5. User Content and Intellectual Property
5.1 Your Content
"User Content" means any content you submit, upload, or create using the Service, including:
- Project plans and descriptions
- Prompts and messages
- File uploads and documentation
- Comments and feedback
- Configuration settings
You Own Your Content:
- You retain all ownership rights to your User Content
- We do not claim ownership of your User Content
- You are solely responsible for your User Content
5.2 License Grant to Us
By submitting User Content, you grant us a limited, non-exclusive, royalty-free, worldwide license to:
- Store your content on our servers
- Process your content to provide the Service
- Display your content back to you in the Service
- Transmit your content to third-party services (e.g., Anthropic API)
- Backup your content for data recovery purposes
Scope of License:
- This license exists only to operate the Service
- We will not use your content for any other purpose without your consent
- This license ends when you delete your content or account (subject to backup retention)
5.3 AI-Generated Content
Ownership of AI Outputs:
- You own the AI-generated plans and content created through the Service
- Subject to Anthropic's terms regarding AI outputs
- AI outputs may not be eligible for copyright protection (evolving area of law)
No Guarantee of Uniqueness:
- AI may generate similar content for different users
- We do not guarantee that AI outputs are unique or original
- You are responsible for verifying that AI outputs do not infringe third-party rights
5.4 Our Intellectual Property
The Service and its original content, features, and functionality are owned by Coplanar and are protected by copyright, trademark, patent, and trade secret laws.
You May NOT:
- Copy, modify, or create derivative works of the Service
- Use our trademarks, logos, or branding without permission
- Remove or modify any copyright or proprietary notices
- Reverse engineer or decompile the Service
5.5 Feedback and Suggestions
If you provide feedback, suggestions, or ideas ("Feedback"):
- We may use Feedback without any obligation to you
- You grant us an unrestricted, perpetual, irrevocable license to use Feedback
- We are not required to keep Feedback confidential
- You waive any rights to compensation for Feedback
6. Local Bridge Agent and Hybrid Architecture
6.1 Local Bridge Agent
Coplanar offers a Local Bridge Agent that runs on your machine to enable local Claude CLI interaction.
Your Responsibilities:
- You are responsible for installing and running the Bridge Agent
- You must secure your local environment
- You must comply with system requirements
- You are responsible for updating the Bridge Agent
Security Considerations:
- Bridge Agent communicates with Claude CLI on your machine
- Bridge Agent accepts connections from localhost by default
- You can configure allowed origins and authentication tokens
- You are responsible for network security if exposing Bridge Agent externally
No Warranty:
- Bridge Agent is provided "AS IS" without warranties
- We are not responsible for issues with your local environment
- Bridge Agent may have bugs or security vulnerabilities
- Updates are provided on a best-effort basis
6.2 Hybrid Data Storage
Coplanar uses a hybrid architecture with both local and cloud storage:
Local Storage (Bridge Agent Mode):
- Claude CLI runs on your machine
- Conversations may be stored locally
- You control local file permissions and security
Cloud Storage:
- Completed plans stored on our servers
- Account data and metadata in our database
- Session information and audit logs
6.3 System Requirements
To use the Local Bridge Agent, you need:
- Claude CLI installed and accessible
- Node.js runtime (for running Bridge Agent)
- Sufficient disk space for conversation storage
- Network connectivity to Anthropic's API
No Support Guarantee: We provide Bridge Agent on a best-effort basis. Technical support may be limited. You are responsible for troubleshooting local environment issues.
7. Service Availability and Modifications
7.1 Beta/Early Access Status
Coplanar may be in beta, early access, or preview status. This means:
- Features may be incomplete or experimental
- Bugs and errors may occur
- Data loss is possible (back up important data)
- Service may be discontinued without notice
- Performance may vary
Use at Your Own Risk: Beta features are provided "AS IS" without warranties.
7.2 Service Availability
We strive to provide reliable service, but we do NOT guarantee:
- 100% uptime or availability
- Error-free operation
- Uninterrupted access
- Freedom from viruses or harmful components
7.3 Service Modifications
We reserve the right to:
- Modify or discontinue any feature at any time
- Add new features or requirements
- Change pricing or plans (with notice)
- Update system requirements
- Discontinue the Service entirely
7.4 No Liability for Downtime
We are NOT liable for:
- Loss of data due to Service interruptions
- Lost revenue or business opportunities
- Inability to access the Service
- Third-party service failures
Your Responsibility: Maintain backups of critical data.
8. Payment Terms
8.1 Current Status
Coplanar is currently free to use. We do not collect payment information at this time.
8.2 Future Paid Plans
We may introduce paid plans in the future. If we do:
Advance Notice:
- We will provide at least 30 days' notice before charging fees
- You will have the opportunity to cancel before being charged
- Free tier may remain available (subject to limitations)
Pricing Changes:
- We may change pricing with 30 days' notice
- Price changes will not affect current billing cycles
- You may cancel if you do not agree to new pricing
9. Data and Privacy
9.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.2 Data Security
We implement reasonable security measures to protect your data, including:
- Encryption in transit (HTTPS/TLS)
- Encrypted password storage (Argon2id)
- Access controls and authentication
- Regular security audits
No Absolute Security: No method of transmission or storage is 100% secure. We cannot guarantee absolute security.
9.3 Data Backup
Your Responsibility:
- You are responsible for backing up your data
- We provide data export features
- We are not liable for data loss
9.4 Data Deletion
When you delete content or your account:
- Data is deleted within 30 days
- Some data may persist in backups temporarily
- Anonymized analytics may be retained
- Legal holds may delay deletion
10. Disclaimers and Limitation of Liability
10.1 No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
We Disclaim All Warranties, Including:
- Merchantability: No guarantee Service is fit for a particular purpose
- Fitness for Purpose: No guarantee Service meets your requirements
- Non-Infringement: No guarantee Service does not infringe third-party rights
- Accuracy: No guarantee of accuracy of AI outputs or content
- Reliability: No guarantee of uninterrupted or error-free operation
- Security: No guarantee of absolute security or data protection
AI Outputs:
- AI-generated content may be inaccurate, incomplete, or harmful
- You are responsible for verifying all AI outputs
- We are not responsible for decisions made based on AI content
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
We are NOT LIABLE for any:
- Indirect Damages: Consequential, incidental, punitive, or special damages
- Lost Profits: Loss of revenue, business, or opportunities
- Data Loss: Loss or corruption of data or content
- Service Interruption: Downtime, unavailability, or errors
- Third-Party Actions: Actions of other users or third-party services
- AI Outputs: Damages from inaccurate or harmful AI-generated content
Aggregate Liability Cap:
Our total liability for all claims related to the Service is limited to the greater of $100 USD or the amount you paid us in the 12 months before the claim.
10.3 Your Assumption of Risk
You acknowledge and agree that:
- You use the Service at your own risk
- You are responsible for your use of AI features
- You must verify AI outputs before relying on them
- You must back up critical data
- You must secure your local environment (if using Bridge Agent)
11. Indemnification
11.1 Your Indemnification Obligation
You agree to indemnify, defend, and hold harmless Coplanar, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or regulation
- Your User Content (infringement, defamation, etc.)
- Your violation of third-party rights
- Your use of AI features to generate harmful or illegal content
- Your negligence or willful misconduct
11.2 Defense and Settlement
We reserve the right to:
- Assume exclusive defense and control of any matter subject to indemnification
- Require your cooperation in the defense
- Approve any settlement that affects our rights
You may not settle any claim without our prior written consent.
12. Termination
12.1 Termination by You
You may terminate your account at any time by:
- Using the "Delete Account" feature in account settings
- Emailing us at support@getcoplanar.com
Effect of Your Termination:
- Your account and data will be deleted within 30 days
- You will lose access to all content and features
- We will not refund any fees paid (if applicable)
- Backups may persist temporarily
12.2 Termination by Us
We may suspend or terminate your account at any time, with or without cause, including:
- Violation of these Terms
- Violation of Acceptable Use Policy
- Non-payment of fees (if applicable)
- Fraudulent or illegal activity
- Abusive behavior toward our team or other users
- Extended inactivity (after notice)
- Discontinuation of the Service
12.3 Effect of Termination
Your Obligations:
- You must cease all use of the Service
- You must delete any local copies of proprietary content
- Outstanding fees become immediately due (if applicable)
Survival:
The following sections survive termination: User Content and Intellectual Property (Section 5), Disclaimers and Limitation of Liability (Section 10), Indemnification (Section 11), Dispute Resolution and Governing Law (Section 13), General Provisions (Section 14).
13. Dispute Resolution and Governing Law
13.1 Governing Law
These Terms are governed by the laws of California, United States, without regard to conflict of law principles.
Jurisdiction:
- Exclusive jurisdiction: Courts of San Diego, California, United States
- You consent to personal jurisdiction in these courts
13.2 Informal Resolution
Before filing a legal claim, you agree to:
- Email us at legal@getcoplanar.com with details of the dispute
- Provide us 30 days to resolve the issue informally
- Participate in good-faith negotiations
13.3 Limitation on Time to File Claims
You must bring any claims within one (1) year of the event giving rise to the claim. After one year, claims are permanently barred.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Coplanar regarding the Service. These Terms supersede all prior agreements, representations, and understandings.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable:
- That provision will be modified to the minimum extent necessary
- Remaining provisions will remain in full force and effect
- Invalid provisions will be replaced with valid provisions of similar intent
14.3 No Waiver
Our failure to enforce any provision of these Terms does not waive our right to enforce it later. Waiver of one breach does not waive future breaches.
14.4 Assignment
You may NOT assign or transfer these Terms or your account without our written consent.
We may assign these Terms to a subsidiary or affiliate, a successor in the event of merger or acquisition, or any third party with notice to you.
14.5 Force Majeure
We are not liable for failure to perform obligations due to causes beyond our reasonable control, including:
- Natural disasters
- Acts of war or terrorism
- Government actions or regulations
- Internet or telecommunications failures
- Third-party service failures
- Labor disputes or strikes
14.6 Relationship of Parties
These Terms do not create a partnership, joint venture, agency, employment, or franchise relationship. You are an independent user of the Service.
14.7 Notices
Notices to You:
- We may provide notices via email, in-app notifications, or posting on the Service
- Notices are effective when sent

14.8 Export Control
You agree to comply with all export and import laws and regulations. You represent that you are not located in an embargoed country, on any government denied party list, or a sanctioned individual or entity.

These Terms are written in English. Translations may be provided for convenience, but the English version controls in case of conflict.
